Chair of the Board has casting vote in a tiebreak, like the VP does in the Senate.
If all women voted for something and all men voted against, Chair's vote is the decider, hence 51%, their majority.
And you knew that, you were just trying to play gotcha.
Some companies have a 50% or less doesn't win policy, where any ties are failed.
I doubt Disney is one of them. Those policies are usually used when the board is temporarily shrunk due to illness or bereavement.
I wanted to be honest that such policies exist, just in case someone brings them up.
I think their actions verify the hypothesis, personally. If they weren't the majority, wouldn't some of their unprofitable ideas have been winnowed out?
